Step by step

  1. Choose a structure. Most SMEs choose a Private Limited Company (Pvt Ltd) for liability protection and credibility, a Sole Proprietorship for the simplest start, or an AOP/Partnership for two or more owners sharing control. A Pvt Ltd needs at least one director and one shareholder.
  2. Reserve the company name. Create an account on SECP eServices, run a name search, and apply to reserve an available name. Avoid prohibited or deceptive words; names implying government links need clearance.
  3. Prepare incorporation documents. You need the Memorandum and Articles of Association (standard templates work for most SMEs), directors' and subscribers' CNICs, and the registered office address. Digital signatures are issued through the portal.
  4. File and pay. Submit the incorporation form on eServices and pay the fee online. SECP fees scale with authorised capital; online filing is cheaper than physical filing.
  5. Get the Certificate of Incorporation. Once approved, download your Certificate of Incorporation with the company's unique registration number. This is your proof of legal existence.
  6. Register for tax (NTN). Register the company on the FBR IRIS portal to obtain a National Tax Number (NTN). Add sales-tax registration if your turnover or sector requires it.
  7. Open a corporate bank account. Use the Certificate of Incorporation, NTN, board resolution, and directors' CNICs to open a business current account. This separates business and personal finances cleanly.
